# Influencer & Affiliate Agreement

This Agreement is between **ALPHACARE HOLDINGS LLC** ("Brand") and the influencer/affiliate ("Creator").

## 1. Relationship
- Creator is an **independent contractor**, not an employee of ALPHACARE HOLDINGS LLC.
- This agreement does not create an employer-employee, partnership, or joint venture relationship.

## 2. FTC Disclosure Requirements (MANDATORY)
- Creator **MUST** clearly disclose the material relationship with care·atin in every post, video, story, or review that features our products.
- Acceptable disclosures: **#ad**, **#sponsored**, **#gifted**, or **"I received this product from care·atin"**.
- Disclosure must be **visible and unambiguous** — not buried in hashtags or below the fold.
- Failure to disclose is a violation of **FTC 16 CFR Part 255** and may result in termination of this agreement and clawback of compensation.

## 3. Content Guidelines
- Creator may share personal opinions and experiences with care·atin products.
- Creator **MUST NOT** make medical claims, health claims, or state/imply the product treats, cures, or prevents any condition.
- Creator **MUST NOT** use prohibited terms: "FDA approved", "clinically proven", "cures", "treats", "regrows hair", or "wellness device".
- Approved language: "wellness device", "scalp care ritual", "my personal experience", "I noticed a difference".

## 4. Compensation
- **Gifted product:** Creator receives a complimentary care·atin TrichoSync device (value $89) in exchange for honest content.
- **Affiliate commission:** Creator earns a unique discount code. For each sale using their code, Creator receives [commission %] of the net sale price.
- **Payment terms:** Affiliate commissions are paid monthly via PayPal or direct transfer for all sales exceeding $25 in the prior month.

## 5. Content Ownership & Usage Rights
- Creator retains ownership of original content.
- Creator grants ALPHACARE HOLDINGS LLC a **non-exclusive, royalty-free, perpetual license** to repurpose, repost, and use the content across care·atin marketing channels (social media, website, ads, email).
- Creator may request content removal by emailing admin@care-atin.com. Removal will be processed within 30 days.

## 6. Termination
- Either party may terminate this agreement with 7 days written notice.
- Upon termination, Creator's affiliate code will be deactivated. Outstanding commissions will be paid within 30 days.

## 7. Indemnification
- Creator agrees to indemnify and hold harmless ALPHACARE HOLDINGS LLC from any claims arising from Creator's content, including FTC violations, defamation, or intellectual property infringement.
